TicLite Terms & Conditions
Effective Date: 9/1/2026
These Terms & Conditions (“Terms”) constitute a binding agreement between you and TicLite (“TicLite,” “we,” “us,” or “our”) governing your access to and use of the TicLite website platform, software, hosting, integrations, and related services (collectively, the “Service”).
1. Acceptance of These Terms
By creating an account, starting a trial, purchasing a subscription, clicking to accept these Terms, or accessing or using the Service, you acknowledge that you have read, understood, and agreed to these Terms and our Privacy Policy.
If you create or use an account on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” and “your” refer to both you and the organization.
If you do not agree to these Terms, you may not create an account or use the Service.
2. The Service
TicLite is a self-service website platform designed for ticket brokers, ticket affiliates, and other authorized ticketing businesses.
Depending on your selected plan and configuration, the Service may include website software, hosting, themes, event listings, ticket inventory integrations, payment integrations, customer-management tools, marketing tools, and related functionality.
TicLite is a technology provider. TicLite is not:
- A ticket broker or ticket seller for transactions conducted through your website
- A party to transactions between you and your customers
- A payment processor, financial institution, or escrow service
- An event organizer, performer, venue, sports team, or box office
- A web development agency
- Your employee, partner, joint venturer, fiduciary, or legal representative
Custom development, custom features, data migration, custom website design, consulting, or other professional services are not included unless expressly stated in a separate written agreement.
3. Eligibility and Account Registration
You must be at least eighteen (18) years old and legally capable of entering into a binding agreement to use the Service.
You agree to provide accurate, current, and complete account and billing information and to keep that information updated.
You may not impersonate another person or organization, create an account using false information, or use the Service for an undisclosed third party.
You are responsible for all activity conducted through your account, including activity by your employees, contractors, administrators, and other authorized users.
4. Account Security
You are responsible for protecting your account credentials, API credentials, passkeys, authentication devices, recovery codes, and connected third-party accounts.
You must promptly notify TicLite if you suspect unauthorized access, credential compromise, or another security incident involving your account.
TicLite is not responsible for losses resulting from:
- Credentials shared by you or your users
- Weak, reused, or compromised passwords
- Failure to enable or properly use available security features
- Unauthorized access caused by your systems, devices, employees, or contractors
- Compromise of a connected third-party account
We may temporarily restrict access to an account when reasonably necessary to investigate suspected fraud, abuse, or unauthorized access.
5. Subscription Plans and Billing
Access to the Service requires an active paid subscription unless you are participating in an authorized trial or promotional program.
Available features, limits, integrations, themes, event listings, and support options vary by plan. The features included with your subscription are those displayed at the time of purchase or otherwise confirmed by TicLite in writing.
By purchasing a subscription, you authorize TicLite and its payment processor to charge your selected payment method for:
- Subscription fees
- Renewal fees
- One-time purchases
- Optional add-ons
- Applicable taxes
- Other charges you expressly authorize
You represent that you are authorized to use the payment method provided.
Automatic Renewal
Subscriptions automatically renew for successive monthly or annual billing periods until canceled.
Unless canceled before the applicable renewal date, you authorize TicLite to charge your payment method for the next billing period at the then-current subscription price.
You may cancel your subscription at any time through the cancellation method provided by TicLite or by contacting us at [email protected].
Cancellation
Cancellation prevents future renewals and takes effect at the end of your current paid monthly or annual billing period. Canceling a subscription does not immediately terminate access unless you request immediate termination or TicLite terminates the account under these Terms.
You will continue to have access to the Service through the end of the billing period for which you have already paid, subject to these Terms.
No Refunds
Except where required by law, all payments are final and nonrefundable.
TicLite does not provide prorated refunds or credits for:
- Unused subscription time
- Annual plans canceled before the end of the annual term
- Partially used billing periods
- Unused features
- Failure to use the Service
- Account suspension or termination resulting from a violation of these Terms
- Third-party outages or integration failures
Failed Payments
If a payment is declined, reversed, disputed, or otherwise unsuccessful, we may retry the payment method, restrict account functionality, suspend the Service, or terminate the account.
You remain responsible for all unpaid charges incurred before suspension or termination.
Chargebacks and Payment Disputes
Before initiating a chargeback or payment dispute, you agree to contact TicLite and provide us with a reasonable opportunity to investigate and resolve the issue.
Submitting a fraudulent or knowingly invalid chargeback may result in immediate suspension or termination of your account. You remain responsible for valid charges, chargeback fees, and reasonable collection costs to the extent permitted by law.
Taxes
Prices do not include taxes unless expressly stated. You are responsible for all applicable sales, use, excise, value-added, and similar taxes associated with your purchase or use of the Service, excluding taxes based on TicLite’s net income.
6. Trials and Promotional Offers
TicLite may offer free trials, promotional pricing, discounts, or limited-time access at its discretion.
Trial and promotional terms may vary and may be subject to additional conditions disclosed at enrollment.
If a trial converts to a paid subscription, the applicable price, billing frequency, trial length, and conversion date will be disclosed before enrollment. Unless canceled before the disclosed conversion date, you authorize TicLite to charge the payment method provided.
TicLite may modify, limit, or discontinue a trial or promotional offer where permitted by law. Unless expressly stated otherwise, promotions may not be combined, transferred, or redeemed for cash.
7. Credits
TicLite credits are limited-use platform benefits and are not money, stored value, gift cards, or financial accounts.
Credits:
- Have no cash value
- Are nonrefundable
- May not be transferred, sold, exchanged, or redeemed for cash
- May be limited to designated features or purchases
- Have no value after expiration, cancellation, or account termination
Unused credits are forfeited when your subscription ends unless otherwise required by law or expressly stated in writing by TicLite.
TicLite may correct credit balances resulting from errors, duplicate awards, fraud, abuse, reversals, or unauthorized activity.
8. Themes, Event Listings, and One-Time Purchases
Theme and event-listing purchases are one-time purchases unless otherwise stated at checkout. These purchases do not include a TicLite subscription and may be used only with an active TicLite account.
A theme purchase grants you a limited, nonexclusive, nontransferable, non-sublicensable right to use the selected theme through your active TicLite subscription. Purchasing a theme does not transfer ownership of the theme, its source code, layout system, software, or other intellectual property.
Event-listing purchases provide the quantity or access described at the time of purchase and may be subject to technical, inventory-provider, geographic, or account limitations.
Your right to access or use purchased themes and event listings ends when your TicLite subscription expires or is terminated. These purchases are forfeited upon cancellation or termination and are not redeemable for cash, transferable to another account, or refundable except where required by law.
9. Third-Party Services and Integrations
The Service may connect to or rely upon third-party products and services, including:
- Ticket inventory providers
- Seating-chart providers
- Payment processors
- Domain registrars
- Email and SMS providers
- Analytics providers
- Fraud-prevention providers
- Cloud hosting and infrastructure providers
- Mapping and geolocation providers
- Customer-relationship and marketing platforms
Third-party accounts, licenses, approvals, API access, usage fees, transaction fees, and other third-party charges are not included unless expressly stated.
You are responsible for obtaining and maintaining all third-party accounts, permissions, credentials, contracts, and licenses required for your selected integrations.
TicketNetwork Seatics Interactive Maps require an active TicketNetwork Seatics account and authorized API access. This feature is available only with eligible plans or options marked with an asterisk (*).
Third-party services are governed by their own agreements and privacy practices. TicLite does not control and is not responsible for:
- Third-party outages or downtime
- API restrictions, suspensions, or discontinuation
- Pricing or licensing changes
- Incorrect, delayed, incomplete, or unavailable data
- Inventory-feed errors
- Mapping or seating-chart errors
- Payment-processing failures
- Changes that reduce or eliminate compatibility
- Actions taken by a third-party provider against your account
We may modify, suspend, or remove an integration when a provider changes or discontinues its services, restricts access, creates a security or legal risk, or makes continued support commercially impractical.
10. Your Ticketing Business
You are solely responsible for your ticketing business and all transactions conducted through your website.
Your responsibilities include:
- Ensuring that you are legally authorized to advertise and sell all tickets offered through your website
- Complying with ticket-resale, consumer-protection, advertising, pricing, tax, privacy, accessibility, and electronic-commerce laws
- Providing accurate event, venue, seat, quantity, price, fee, delivery, and restriction information
- Clearly disclosing that ticket prices may exceed face value when required
- Fulfilling ticket orders accurately and on time
- Handling cancellations, postponements, rescheduled events, refunds, replacements, and customer complaints
- Maintaining required licenses, registrations, bonds, permits, and insurance
- Maintaining your own customer-facing terms, refund policy, privacy policy, and required disclosures
- Paying all taxes, royalties, fees, commissions, and other amounts associated with your business
- Complying with the rules and agreements of inventory providers, payment processors, venues, and other partners
TicLite does not verify your legal authority to list or sell any ticket and is not responsible for disputes between you, your customers, ticket suppliers, venues, performers, or payment processors.
You are the merchant responsible for transactions conducted through your website unless a separate written agreement expressly states otherwise.
11. Payment Processing and Customer Transactions
Payments made by your customers may be processed by a third-party payment processor connected to your account.
You are responsible for:
- Establishing and maintaining your payment-processor account
- Payment-processing fees
- Customer refunds
- Chargebacks and retrieval requests
- Fraud losses
- Payment disputes
- Reserve requirements
- Processor holds, limitations, or account termination
- Compliance with payment-network and processor rules
TicLite does not hold, control, insure, or guarantee funds owed to you by your customers or payment processor.
TicLite is not liable for a processor’s refusal to process a transaction, withholding of funds, reserve requirement, account suspension, chargeback decision, or security procedure.
12. Customer Content
You retain ownership of content you upload, publish, display, submit, or distribute through the Service (“Customer Content”).
Customer Content includes:
- Business names and contact information
- Images, logos, videos, and graphics
- Written content and promotional material
- Event, artist, performer, team, and venue information
- Trademarks and branding
- Customer records and communications
- Other information submitted through your account
You represent and warrant that:
- You own Customer Content or have all rights and permissions necessary to use it
- Customer Content does not violate any law, contract, privacy right, publicity right, copyright, trademark, or other third-party right
- Customer Content is accurate and not fraudulent, deceptive, defamatory, or misleading
- Your collection and use of personal information complies with applicable law
You grant TicLite a worldwide, nonexclusive, royalty-free license to host, store, reproduce, process, transmit, display, modify solely for formatting or technical purposes, and otherwise use Customer Content as reasonably necessary to provide, secure, maintain, and improve the Service.
This license continues only for as long as necessary to provide the Service, satisfy legal obligations, resolve disputes, prevent fraud, and maintain legitimate backup and security records.
You are solely responsible for Customer Content and any consequences resulting from it.
13. TicLite Intellectual Property
TicLite and its licensors retain all rights, title, and interest in and to the Service, including:
- Software and source code
- Platform architecture
- Themes and templates
- Interfaces and layouts
- Databases and data structures
- Documentation
- Branding and trademarks
- Features, workflows, and platform functionality
- Updates, modifications, and derivative works
Your subscription grants you a limited, revocable, nonexclusive, nontransferable, and non-sublicensable right to access and use the Service for your internal business purposes during your active subscription.
You may not:
- Copy, resell, sublicense, rent, lease, distribute, or commercially exploit the Service
- Reverse engineer, decompile, disassemble, or attempt to discover source code
- Bypass usage limits, security controls, or access restrictions
- Remove proprietary notices
- Create derivative works based on the Service except where expressly authorized
- Use the Service to build or assist a competing platform
- Scrape, crawl, extract, or systematically copy data or platform content without authorization
No rights are granted except those expressly stated in these Terms.
14. Domains
If you connect or register a domain for use with TicLite, you are responsible for maintaining ownership, registration, renewal, payment, and accurate contact information for that domain.
Domain availability is not guaranteed. TicLite is not responsible for domain expiration, loss, transfer disputes, registrar actions, DNS failures, incorrect DNS configuration, or third-party claims involving your domain.
You must cooperate with any verification, transfer, or configuration steps required by the applicable registrar or registry.
15. Acceptable Use
You may not use the Service to:
- Violate any law, regulation, court order, or third-party right
- Sell tickets you are not authorized to sell
- Engage in fraud, deception, impersonation, or misleading advertising
- Distribute malware or malicious code
- Attempt unauthorized access to any account, system, network, or data
- Interfere with or disrupt the Service or its infrastructure
- Conduct denial-of-service attacks, automated abuse, excessive scraping, or security testing without written permission
- Send unlawful, unsolicited, or abusive email or text messages
- Collect or process personal information unlawfully
- Upload infringing, defamatory, obscene, threatening, or unlawful content
- Circumvent third-party restrictions, API limits, or licensing requirements
- Misrepresent your relationship with TicLite or any third party
- Use the Service in a manner that creates unreasonable security, legal, reputational, or operational risk
We may investigate suspected violations and cooperate with courts, regulators, law enforcement, payment processors, hosting providers, and other authorized parties when legally required or reasonably necessary to protect the Service and its users.
16. Privacy and Data Protection
Our collection and use of information relating to your TicLite account are described in our Privacy Policy.
You are independently responsible for the personal information you collect from your customers and website visitors.
You must:
- Publish an accurate privacy policy on your website
- Provide all legally required notices and consent mechanisms
- Honor applicable privacy rights and requests
- Use personal information only for lawful purposes
- Protect customer information using reasonable safeguards
- Comply with applicable privacy, marketing, cookie, email, and text-messaging laws
You may not use the Service to collect highly sensitive information unless the Service expressly supports that information and you have a lawful basis to collect it.
17. Data and Backups
You are responsible for maintaining independent copies of important business records, Customer Content, transaction information, customer information, reports, and other data.
TicLite may maintain operational backups, but backups are not guaranteed to exist, remain complete, or be recoverable.
Operational backups are maintained for disaster recovery and are not a substitute for your own recordkeeping and backup procedures.
TicLite is not responsible for data loss caused by:
- Your actions or configuration
- Unauthorized account access
- Third-party integrations
- Software or hardware failure
- Data corruption
- Account termination
- Events outside our reasonable control
18. Service Provided “AS IS”
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND.
TICLITE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF:
- Merchantability
- Fitness for a particular purpose
- Title
- Non-infringement
- Accuracy
- Availability
- Reliability
- Security
- Error-free operation
- Uninterrupted operation
- Compatibility with third-party services
TicLite does not warrant that the Service will meet every requirement, operate without interruption, remain free from errors or harmful components, or be compatible with every browser, device, provider, API, or third-party system.
Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
19. No Guarantee of Business Results
TicLite does not guarantee:
- Sales, revenue, or profits
- Website traffic
- Search-engine rankings
- Customer conversions
- Lead generation
- Ticket sales or ticket availability
- Business growth
- Customer retention
- Approval by a payment processor or inventory provider
- Any specific uptime percentage
- Compatibility with every browser, device, or third-party system
Your results depend on factors outside TicLite’s control, including your inventory, pricing, reputation, marketing, customer service, legal compliance, vendors, competition, and market conditions.
20. Hosting, Maintenance, and Availability
TicLite may provide hosting as part of the Service. We strive to provide reliable service but do not guarantee uninterrupted availability, any specific uptime percentage, bandwidth, response time, backup availability, security outcome, or disaster-recovery result.
The Service may be unavailable because of:
- Scheduled or emergency maintenance
- Server, network, or hardware failure
- Internet, cloud-provider, or DNS outages
- Software deployment or configuration changes
- Cyberattacks or denial-of-service attacks
- Third-party infrastructure failures
- Legal or regulatory requirements
- Events outside our reasonable control
We may perform maintenance and make emergency changes without prior notice when reasonably necessary to protect the Service, its infrastructure, or its users.
21. Service and Feature Changes
We may update, modify, replace, add, limit, suspend, or discontinue features of the Service.
We may make changes without prior notice when necessary for security, legal compliance, third-party compatibility, abuse prevention, infrastructure maintenance, or emergency operation.
If we permanently discontinue the entire paid Service, we will provide notice when reasonably practicable and address any prepaid unused subscription period as required by law.
22. Suspension and Termination
We may suspend, restrict, or terminate your account if:
- You fail to pay amounts when due
- You violate these Terms
- You engage in illegal, fraudulent, abusive, or deceptive conduct
- Your use threatens the security, availability, integrity, or reputation of the Service
- A third-party provider requires suspension
- Your account creates material legal, financial, or operational risk
- We are required to do so by law, court order, or governmental authority
- You cease business operations or become subject to insolvency proceedings
We may suspend access immediately when reasonably necessary to prevent fraud, security incidents, unlawful activity, or harm to TicLite, the Service, another user, or a third party.
Where appropriate, we may provide notice and an opportunity to correct a violation before termination, but we are not required to do so in urgent or serious circumstances.
23. Effect of Cancellation or Termination
When your subscription expires or your account is terminated:
- Your right to access and use the Service ends
- Your website may become unavailable
- Licenses to themes and other subscription-dependent products end
- Unused credits and event-listing purchases are forfeited
- Third-party integrations may stop functioning
- Outstanding payment obligations remain due
- Customer Content and account data may be deleted
You are responsible for exporting any information you wish to retain before your subscription ends.
TicLite may retain information when reasonably necessary for backups, fraud prevention, security, dispute resolution, enforcement of agreements, and compliance with legal obligations.
Provisions that by their nature should survive termination will remain in effect, including provisions relating to payment obligations, intellectual property, disclaimers, indemnification, liability limitations, and dispute-related obligations.
24. Copyright and Intellectual-Property Complaints
TicLite does not approve or assume responsibility for Customer Content.
If we receive a credible complaint alleging that Customer Content violates copyright, trademark, publicity, privacy, licensing, or other rights, we may remove or restrict access to the disputed content while the matter is reviewed.
Customers are solely responsible for obtaining all rights and permissions necessary for content involving:
- Events
- Performers and artists
- Venues
- Sports teams and leagues
- Concerts
- Images and videos
- Logos and trademarks
- Promotional materials
Intellectual-property complaints may be submitted to [LEGAL OR COPYRIGHT EMAIL] with sufficient information to identify the disputed material and the basis of the claim.
25. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless TicLite and its owners, officers, employees, contractors, affiliates, service providers, and licensors from claims, demands, proceedings, damages, judgments, settlements, penalties, liabilities, losses, costs, and reasonable attorneys’ fees arising out of or relating to:
- Your access to or use of the Service
- Your ticketing business or website
- Customer Content
- Tickets advertised, offered, or sold through your website
- Your transactions, customers, refunds, chargebacks, or fulfillment obligations
- Your violation of these Terms
- Your violation of any law, regulation, contract, or third-party right
- Taxes, fees, licenses, permits, or regulatory obligations associated with your business
- Fraud, negligence, misconduct, or unauthorized activity by you or your users
TicLite may control the defense and settlement of an indemnified claim. You agree to provide reasonable cooperation and may not settle a claim in a manner that admits fault by or imposes an obligation on TicLite without our written consent.
26. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TICLITE AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
THIS EXCLUSION INCLUDES DAMAGES ARISING FROM OR RELATING TO:
- Lost sales, revenue, profits, customers, or business opportunities
- Lost data or Customer Content
- Loss of goodwill or reputation
- Business interruption or website downtime
- Hosting, network, DNS, or cloud-provider outages
- Third-party services or integrations
- Payment-processor decisions or failures
- Inventory-feed, event-data, pricing, or ticket errors
- Event cancellations, postponements, or schedule changes
- Software bugs, unauthorized access, or security incidents
- Reliance on information obtained through the Service
- To the fullest extent permitted by law, TicLite shall not be liable for any loss, damage, cost, or expense arising for any reason, including, without limitation, losses caused in whole or in part by errors, omissions, negligence, service interruptions, software defects, security incidents, third-party failures, or the acts or omissions of TicLite, its owners, employees, contractors, affiliates, or service providers.
TO THE FULLEST EXTENT PERMITTED BY LAW, TICLITE’S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE TOTAL SUBSCRIPTION FEES YOU PAID DIRECTLY TO TICLITE DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
The limitations in this section apply regardless of the legal theory asserted and even if TicLite was advised that damages were possible.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
27. No Professional Advice
TicLite does not provide legal, accounting, tax, financial, insurance, marketing, SEO, accessibility, cybersecurity, or regulatory advice.
Information made available through TicLite is provided for general informational purposes only. You are responsible for obtaining advice from qualified professionals regarding your business and legal obligations.
28. Force Majeure
TicLite will not be responsible for delay, interruption, or failure caused by circumstances beyond our reasonable control, including natural disasters, severe weather, fire, flood, war, terrorism, civil unrest, labor disputes, epidemics, government action, utility failure, Internet disruption, cyberattack, denial-of-service attack, supply shortage, or third-party service failure.
29. Changes to These Terms
We may update these Terms from time to time.
The revised Terms will be posted with an updated effective date. When required by law or when changes materially affect your rights or obligations, we will provide additional notice through the Service, by email, or through another reasonable method.
Your continued use of the Service after revised Terms take effect constitutes acceptance of those revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.
30. Electronic Communications
You consent to receive agreements, notices, disclosures, invoices, receipts, and other communications from TicLite electronically, including by email and through your account.
You are responsible for maintaining a valid email address and monitoring communications sent to it.
Electronic acceptance and electronic records have the same effect as physical signatures and paper records to the extent permitted by law.
31. Assignment
You may not assign or transfer your account, subscription, or rights under these Terms without TicLite’s prior written consent.
TicLite may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or transfer of the Service.
32. Waiver
A failure or delay by TicLite to enforce any provision of these Terms does not waive our right to enforce that provision or any other provision in the future.
33. Severability
If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.
34. Headings
Section headings are provided for convenience only and do not affect the interpretation of these Terms.
35. Entire Agreement
These Terms, the Privacy Policy, applicable order or checkout details, and any separate written agreement signed by TicLite constitute the entire agreement between you and TicLite concerning the Service and supersede prior or contemporaneous communications and understandings concerning the same subject matter.
If a separately signed written agreement expressly conflicts with these Terms, the separately signed agreement controls only to the extent of that conflict.
